Terms of Service

Last updated: August 10, 2026

These Terms of Service ("Terms") constitute a legally binding agreement between you ("User," "you") and Nadav Mark, a sole proprietor (עוסק מורשה) registered in Israel ("Developer," "we," "us") governing your use of the Plus-it mobile application (the "App"). By downloading, installing, or using the App, you agree to these Terms in full.

1. Eligibility

You must be at least 18 years of age and have the legal capacity to enter into binding agreements to use the App. The App is designed for use by independent professionals who work on a session, lesson, or meeting basis — including but not limited to therapists, psychologists, tutors, trainers, coaches, consultants, and other freelancers — managing their own client session records and billing.

2. Description of the App

Plus-it is a local-first session tracking and billing productivity tool. It provides session logging, relational billing summaries, calendar-linked notification scheduling, and message template generation to assist independent practitioners with personal record-keeping and pre-accounting workflows.

You explicitly acknowledge that the App is not medical software, an Electronic Health Record (EHR) system, a certified accounting platform, or a regulated clinical record system. It is a general-purpose productivity tool, and you remain solely responsible for maintaining any separate records required by professional or statutory obligations in your jurisdiction.

3. Subscription, Billing, and Cancellation

Free tier. Core session tracking is available at no cost, subject to limits on the number of active tracking items.

Pro tier. Advanced features — including unlimited tracking items, encrypted Google Drive synchronisation, custom message templates, and expanded calendar notifications — are available through a paid monthly or annual subscription ("Subscription").

In-app purchase processing. All Subscriptions are processed via in-app purchase through the Apple App Store or Google Play, routed through RevenueCat. Payment processing, tax collection, and transaction records are managed exclusively by the respective platform storefront. We do not handle your payment card data.

Auto-renewal. Subscriptions automatically renew at the end of each billing cycle unless cancelled at least 24 hours before the renewal date. Manage or cancel your Subscription in your Apple ID or Google Play Account settings.

Mandatory notice for Israeli consumers — pursuant to the Israeli Consumer Protection Law (5741-1981): You retain the right to cancel a recurring remote service transaction. Because your Subscription is managed by Apple or Google, cancellation must be processed directly through your App Store or Google Play account settings. Cancellation takes effect at the end of the current billing period; you retain access to Pro features until then.

Refunds. The Developer does not process or issue refunds directly. All refund requests are subject to Apple's or Google's refund policies, depending on your platform.

Price changes. We may change Subscription pricing with reasonable advance notice. Continued use of the Subscription after the effective date of a price change constitutes acceptance.

4. Your Responsibilities

Professional and regulatory compliance. You are fully responsible for ensuring that your use of the App complies with all applicable privacy, data security, and professional privilege regulations in your jurisdiction — including but not limited to the Israeli Protection of Privacy Law (5741-1981), GDPR, HIPAA, or any relevant professional code of ethics.

Client data you enter. You are the data controller for all client information you enter into the App. You are responsible for having a lawful basis to store that information and for informing your clients in accordance with applicable law. The App supports entry of client codes or initials for users who prefer not to store identifying information.

Client communications. When you use the App's message template feature, you are the sender of any message delivered to your clients. The App generates text locally and opens your device's native share sheet; it does not connect to WhatsApp, Telegram, or email APIs directly. You bear full legal responsibility for the content, accuracy, and appropriateness of all communications you send to your clients.

Morning invoicing integration. The App offers an optional integration with Morning (Green Invoice), a separate, independent invoicing platform, allowing you to issue tax invoices, receipts, and payment requests directly from the App using your own Morning account and API key. Morning is not operated by us and is not our subcontractor — when you issue a document, your data is sent directly from your device to Morning and governed by Morning's own terms of service. You are responsible for maintaining your own Morning account in good standing and for the accuracy of any document you choose to issue through it. We are not liable for Morning's availability, accuracy, tax compliance, or any error in a document it issues.

Seed phrase safeguarding. Google Drive backups are encrypted with your private 24-word seed phrase. We do not store this phrase. If it is lost, your backup is permanently unrecoverable. We bear no liability for data loss arising from lost credentials.

Acceptable use. You may not use the App for any unlawful purpose, attempt to reverse-engineer the App, resell access to the App, or use it in any manner that infringes the rights of third parties.

5. Licence Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable licence to install and use the App on mobile devices you personally own or control, strictly for your individual professional use. This licence does not include the right to share access with other users or operate the App on behalf of a multi-user clinic or organisation. Teams or clinics requiring shared access should contact us for a separate arrangement.

6. Disclaimers

Not clinical or medical software. The App does not constitute a medical device and is not designed to fulfil statutory record-keeping obligations for medical practitioners or clinical entities. You are responsible for maintaining any required parallel clinical records.

Not legal or financial advice. The App includes convenience features such as cumulative revenue displays and informational alerts when tracked values exceed certain parameters (for example, a 5,000 NIS monthly revenue indicator). These features are for organisational convenience only and do not constitute financial, accounting, tax, or legal advice. Consult a licensed professional for all tax and accounting matters.

No warranty. The App is provided "as is" and "as available" without warranty of any kind, express or implied. We do not warrant that the App will be error-free, uninterrupted, or free from data loss caused by hardware failure, device loss, or operating system issues. You are strongly encouraged to perform regular CSV exports as an independent backup of your records.

7. Limitation of Liability

To the maximum extent permitted by applicable law, the Developer shall not be liable for any indirect, incidental, special, exemplary, punitive, or consequential damages — including loss of profits, data loss, client disputes, professional regulatory fines, or malpractice claims — arising from your use of or inability to use the App.

Liability cap. Our total cumulative liability for any direct claims arising under these Terms shall not exceed the total amount you paid us for a Pro Subscription during the twelve (12) months immediately preceding the event giving rise to the claim, or ₪100 (whichever is greater).

Nothing in these Terms limits liability for fraud, wilful misconduct, or any liability that cannot be excluded by applicable law.

8. Indemnification

You agree to indemnify, defend, and hold harmless Nadav Mark and any successors from and against any claims, damages, losses, penalties, fines, or expenses (including reasonable legal fees) arising out of or related to: (a) your use of the App in violation of these Terms; (b) your breach of any applicable professional, regulatory, or privacy obligation in connection with client data you enter into the App; (c) any communications you send to your clients using content generated by the App; or (d) any third-party claim that your use of the App infringed their rights.

9. Intellectual Property

All source code, layouts, design assets, visual identities, and textual content of the App (excluding data you input) are the exclusive intellectual property of Nadav Mark. Nothing in these Terms transfers ownership of any intellectual property to you.

10. Governing Law and Dispute Resolution

These Terms are governed by and construed in accordance with the laws of the State of Israel, without regard to conflict of law principles. Any legal action or proceeding arising under these Terms shall be brought exclusively before the competent courts of the Tel Aviv District, Israel.

Notwithstanding the foregoing, nothing in these Terms limits or waives any rights you may have under mandatory consumer protection laws of your country of residence, including the right to bring proceedings in the courts of that country.

11. Changes to These Terms

We may update these Terms from time to time. Non-material changes take effect on publication. For material changes affecting paid subscribers, we will provide at least 30 days' advance notice by publishing the revised Terms within the App or through your registered contact channel. Continued use of the App after the effective date constitutes acceptance of the revised Terms.

12. General Provisions

Entire agreement. These Terms, together with the Privacy Policy, constitute the entire agreement between you and the Developer regarding the App and supersede all prior communications or representations.

Severability. If any provision of these Terms is found unenforceable by a court of competent jurisdiction, that provision shall be modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.

No waiver. Failure by the Developer to enforce any provision of these Terms on one occasion shall not be construed as a waiver of that provision or any other provision on any future occasion.
